NON-EXCLUSIVE BEAT LICENSE AGREEMENT

This Non-Exclusive Beat License Agreement (“Agreement”) is made between:

Producer: Avaco Industries
Email: AvacoIndustries@yahoo.com

and

Licensee (Purchaser)
 

1. GRANT OF LICENSE

Producer grants Licensee a non-exclusive, non-transferable license to use the instrumental composition listed in Checkout

for the purpose of creating one (1) new original musical composition (“Song”).

This license allows Licensee to:

  • Record vocals over the Beat

  • Distribute the Song commercially

  • Perform the Song publicly

  • Use the Song in digital streaming platforms

Ownership of the Beat remains with the Producer.

2. USAGE LIMITATIONS

This license permits up to:

  • 1,000,000 total audio streams across all digital platforms

  • 1,000,000 total distributed copies (digital or physical combined)

  • 1 music video with up to 1,000,000 views

If Licensee exceeds any of these limits, Licensee must purchase an upgraded license before further distribution.

3. PAYMENT

Licensee agrees to pay Producer a one-time fee of:

$20 USD

Payment is due before delivery or release of the Song. This fee is non-refundable.

4. ROYALTIES & CREDIT

Publishing Split

(if reaches over 1million)

  • Producer: 5% writer’s share

  • Licensee: 95% writer’s share

Licensee agrees to properly register the Song with performing rights organizations reflecting this split.

Producer Credit

(optional)

Licensee can credit Producer as:

“Produced by [Avaco Industries]”

in metadata and wherever credits are displayed (DSPs, YouTube, etc.).

5. COPYRIGHT OWNERSHIP

Producer retains full ownership and copyright of the Beat.

Licensee owns the new Song created with the Beat, subject to this Agreement.

Producer reserves the right to license the Beat to other parties.

6. RESTRICTIONS

Licensee may NOT:

  • Claim ownership of the Beat

  • Resell, lease, or sublicense the Beat alone

  • Use the Beat in NFTs or AI training without written permission

  • Register the Beat in Content ID systems without Producer approval

7. DELIVERY

Producer will deliver the Beat in [WAV] format upon payment.

8. TERM & TERMINATION

This Agreement remains in effect until Licensee exceeds usage limits or breaches its terms.

Upon breach, Licensee must immediately stop distributing the Song.

9. WARRANTIES

Producer warrants they own the rights to license the Beat.

Licensee agrees to use the Beat lawfully and indemnify Producer from misuse.

10. GOVERNING LAW

This Agreement is governed by the laws of Virginia, USA
